BUSINESS NAME OR TRADING NAME? WHY IT MATTERS

Most Adelaide business owners still refer to this as a trading name. Fair enough, that is what it was called for decades. But ASIC officially replaced the term when the Business Names Registration Act 2011 took effect on 28 May 2012, and old trading name records in the Australian Business Register stopped displaying on 31 October 2023.

Today there is one national register, run by ASIC, called the Business Names Register. Any name you use to trade that is not your own personal name or your company's exact registered name must be registered here. A sole trader called Jane Smith who trades as 'Jane Smith ' needs nothing. The same person trading as 'Adelaide Marketing Studio' needs a registered business name.

We register business names for Adelaide sole traders, partnerships, and companies. That means an ABN check first (you cannot register a business name without one), a name availability search against the national register, eligibility review against the identical and near-identical name rules, and same-day electronic lodgement through our ASIC Connect access.

Do you need to register a business name?

Only where the trading name differs from your own name. Section 18 of the Business Names Registration Act 2011 requires registration when an individual trades under a name that is not their personal name, or a company trades under a name that is not its exact registered name. That is the whole test.

Worked examples:

Three situations that catch people out:

  • icon
    Adding "and Co" or "and Sons" to a personal name creates a trading name that must be registered.
  • icon
    Trading under a slight variation of your company name, such as dropping "Pty Ltd" or adding a descriptor, usually creates a business name that must be registered.
  • icon
    Using a domain name as a brand requires registration only where you also trade under that name.

Trading under an unregistered business name carries a penalty of up to 30 penalty units. At the Commonwealth penalty unit value applying from 1 July 2026, the amounts are $9,900 for an individual and $49,500 for a body corporate. Penalty unit values are indexed, so confirm the current figure before relying on it. ASIC does enforce this. Where you have been trading for a while under a name you never registered, it is worth fixing before it becomes a compliance issue.

Where you are not sure whether your setup requires registration, we work through the rule with you at the first appointment and register only where it is genuinely required. We will not sell you a service you do not need.

What does business name registration include?

Business name registration includes six components. Each is completed before lodgement, not after.

ABN check and registration

A business name cannot be registered without an active Australian Business Number for the correct entity type. Where you do not have one, we register it in the same appointment. ABN registration is free through the ATO.

Name Availability Search

A full search against the national Business Names Register for identical and near-identical matches, plus checks against registered companies on ASIC Connect and registered trade marks on IP Australia. Where the name is likely to be rejected, we tell you before you pay the ASIC fee.

Eligibility and Restricted Words

Some words, including bank, trust, university, government and incorporated, trigger extra review or require ministerial consent under the Business Names Registration Act 2011. We identify restricted or sensitive words before lodgement and advise on alternatives.

ASIC Lodgement

The application is prepared, signed and lodged electronically through our ASIC Connect agent access. For straightforward registrations, the confirmation and business name certificate are issued on the same business day.

Renewal Management

Business name registrations lapse if not renewed by the expiry date. We track your renewal date, remind you 30 days in advance, and lodge the renewal to prevent the name from lapsing or transferring to another registrant.

Business Name Changes

Adding or removing a partner, changing the holder from an individual to a company, updating the registered address, or transferring the name to a new owner. Each has its own ASIC form. We handle the paperwork and lodge the change on your behalf.

What does ASIC charge to register a business name?

ASIC charges $47 for a one-year registration and $108 for three years in the 2026-27 financial year. Fees are set under the Business Names Registration (Fees) Act 2011 and indexed each 1 July against the March quarter CPI. Any firm quoting business name fees without a date on them is quoting a number that will be wrong within twelve months. These are ASIC's statutory fees, not our service price. Our service starts from $149 with the ASIC fee included.

On ASIC's fees, three years at $108 works out to $36 per year, compared with $47 per year on the annual option. The three-year option also removes two renewal cycles from your admin. Most Adelaide businesses we register go for three years.

    Late renewal is expensive fast

    Miss the renewal window by a day, and ASIC's $47 renewal becomes $149. Miss it by six weeks, and it becomes $475. Where ASIC cancels the name for non-renewal, another business can register it, and there is no automatic recovery.

      GST note: ASIC fees are not subject to GST under Division 81 of the GST Act. Our service fee is subject to GST. Both appear on your tax invoice as separate line items.

      How do we register your business name?

      Getting the sequence right saves money and prevents rejections. ABN before name. Name check before lodgement. Term choice before payment. Six steps run from the first meeting to a registered business name.

      Initial consultation and ABN check

      We confirm your trading structure, whether sole trader, partnership, company or trust, and check whether you already have an active ABN for that structure. Where you do not, we register the ABN through the ATO's Business Registration Service. ABN registration is free and is usually issued within one business day.

      Name availability search

      A full search of the national Business Names Register for identical and near-identical names. We also check ASIC's company register because a name too close to a registered company name is rejected, and IP Australia's trade mark register because a name that clashes with a registered trade mark poses a legal risk even where ASIC accepts it.

      Eligibility and restricted words review

      Some words trigger extra review under the Business Names Registration Act 2011: bank, trust, incorporated, university, government, royal, and chamber of commerce, among others. Where your proposed name uses restricted or sensitive words, we identify them at this step and either advise on alternatives or lodge the ministerial consent application.

      Term selection and quote

      You choose a one-year or three-year term. We quote a single, all-inclusive figure that covers the ASIC fee and our service, starting at $149, so there are no surprises. Payment is taken before lodgement, which is standard practice for ASIC agents.

      Electronic lodgement through ASIC Connect

      The application is lodged electronically through our ASIC Connect agent access. For straightforward registrations, the business name registers and the certificate are issued within the same business day. Applications flagged by ASIC for review, usually because of a similar name, can take up to 28 days.

      Certificate delivery and renewal setup

      We will email you the business name registration certificate as soon as ASIC issues it. Your registration and expiry dates are entered into our renewal reminder system, so 30 days before expiry, we contact you to lodge the renewal. No lapsed names, no penalty fees.

      How long does business name registration take?

      Same business day for straightforward registrations lodged electronically through ASIC Connect, where the name is available, and the ABN is active. Applications ASIC flags for review, usually because of a similar existing name, can take up to 28 days. Where an ABN application is lodged at the same time, add one business day.

      BUSINESS NAME REGISTRATIONS FOR EVERY SITUATION

      Every registration is different depending on the trading structure and what the name is going to be used for. A sole trader launching a first brand carries very different work from a Pty Ltd adding a second trading name for a new product line. Here are the setups we most commonly register for Adelaide businesses.

      Sole Trader First Registration

      First business name for a sole trader launching under a brand instead of their personal name. ABN registered first, if not already active, then the business name is lodged the same day. The most common registration we handle for new Adelaide business owners.

      Partnership Registration

      Business name registered for a two-partner or multi-partner unincorporated partnership. Partnership ABN registered first (partnership ABN is separate from each partner's individual ABN), partnership tax file number obtained, and business name registered to the partnership.

      Company Adding a Trading Name

      Pty Ltd is registering a trading name that differs from its exact registered company name. Common when a company operates multiple brands or wants a customer-facing name that is shorter than its legal name. Registered under the company's ABN, not a separate ABN.

      Franchise Registration

      Business name registered for a franchisee operating under the franchisor's brand. Franchise agreement reviewed for name-use provisions, permissions confirmed, and the name registered to the franchisee's ABN with the correct trading structure.

      Online and E-commerce

      Business name registered for online-only Adelaide businesses trading through a website, marketplace, or social platform. Domain name availability is not the same as business name availability. We check both to prevent an ASIC-registered name that clashes with an unavailable domain.

      A business name is the name you trade under and register with ASIC. It does not give you exclusive rights to the name. A company name is the legal name of a Pty Ltd company, registered with ASIC as part of company incorporation. A trade mark is a brand asset registered with IP Australia that gives you exclusive rights to use the mark in your registered classes. Many Adelaide businesses register a business name for compliance and a trade mark separately for brand protection.
      Yes. Common reasons for rejection are: identical or near-identical to an existing registered business name, identical or near-identical to a registered company name, use of restricted words without ministerial consent, use of words like 'ANZAC', 'royal', 'trust' or 'incorporated' without meeting the eligibility criteria, and application by an entity without a valid ABN. We check for all of these before lodgement to avoid rejection and the need to reapply.
      Old trading name records were transferred to the national Business Names Register when the 2012 legislation took effect, but the ABN Lookup stopped displaying trading name entries on 31 October 2023. If you had a trading name under the old system and never converted it to a business name registration, you are trading under an unregistered name and should register it now. We handle the conversion as part of a first-time registration.
      ASIC sends a renewal notice about 60 days before the expiry date. You can renew for another 1-year or 3-year term at the same fee as the original registration ($47 or $108). If you miss the deadline, ASIC charges a late fee of $102 within one month or $428 more than one month late. If the registration lapses for too long, the name is cancelled and can be registered by someone else. We track your renewal date and contact you 30 days ahead so this does not happen.
